Item 8.01. Other Events.
As previously disclosed on a Current Report on Form 8-K dated May 28, 2021, on May 28, 2021 EG Acquisition Corp. (the Company) consummated an initial public offering (the IPO) of 22,500,000 units (the Units). Each Unit consists of one share of Class A common stock, $0.0001 par value (Class A Share), and one-third of one redeemable warrant (Warrant). Each whole Warrant entitles its holder to purchase one Class A Share at a price of $11.50 per share. The Units were sold at a public offering price of $10.00 per Unit, generating gross proceeds of $225,000,000.
As of May 28, 2021, a total of $225,000,000 of the net proceeds from the IPO and the private placement consummated simultaneously with the closing of the IPO were deposited in a trust account established for the benefit of the Companys public stockholders.
An audited balance sheet as of May 28, 2021 reflecting receipt of the proceeds upon consummation of the IPO and the private placement is included with this report as Exhibit 99.1.
